Inception

  • Determination of correct entity or entities in which to operate the business considering both operational issues and issues likely to arise on the ultimate sale and ownership transfer

  • Preparation and filing of documents with Federal, State and/or local authorities to establish the new business entity or entities including Articles of Organization, Articles of Incorporation and necessary registrations in out-of-state jurisdictions

  • Preparation of internal and external documents such as corporate minutes, by-laws, employment agreements, stock purchase agreements, operating agreements, and partnership agreements

On-going Business

  • General and specialized business planning with an emphasis on problem prevention

  • Tax and benefits planning

  • Preparation and review of contracts and business arrangements

  • Annual entity maintenance such as shareholder and directors meetings and corporate reports

Sale and Ownership Transfer

  • Negotiating, structuring, documenting and closing sales, mergers, reorganizations, and liquidations

  • Negotiating, structuring and documenting stock purchase or redemption agreements

  • Succession planning, including coordination with estate planning
